Terms of Service
Effective Date: September 23, 2026
1. Acceptance of These Terms
These Terms govern your access to and use of our promotional website located at https://catchi.ai (the “Site”) operated or designed by CurioSea Pte. Ltd. with a principal place of business at 68 Circular Road, #02-01, Singapore, 049422 ("Catchi," "we," "us," or "our") and your participation in the Catchi beta testing program (the “Beta Program”), an English-learning application currently in development and pre-release testing.
Access to and use of the Site is subject to the following Terms and Conditions of Service (the "Terms"). By accessing or using any part of the Site, you represent that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree to be bound by these Terms, you are not authorized to use or access the Service.
Please read these Terms carefully. By accessing the Platform or using the Site, you agree to be bound by them. You are advised to understand your obligations and risks under these Terms before using the Site. If you have any concerns with these Terms, please consult a professional advisor before entering into and accepting these Terms. If you do not agree, do not access or use the Site.
2. About Catchi and the Site
Catchi App is an English-learning application currently in pre-release testing. The Site provides information about Catchi and ways to participate in the Beta Program. It allows you to:
- Learn about Catchi App’s features and highlights;
- Register your interest in the Beta Program or, where direct access is available, follow links to join the beta through the relevant testing platform without first submitting your email address. You may optionally provide your email address to receive beta updates and invitations to share feedback; and
- Access links to third-party community platforms (for example, Discord and Facebook) where you may join our community.
Access to the pre-release application may be offered through third-party testing platforms, subject to availability, eligibility requirements, capacity, and the applicable platform terms. Nothing on the Site constitutes an offer to sell or license a commercially released application.
When direct beta access is not available, you may register your interest for a later invitation. We or our designated operator may contact you by email or through a community platform you choose to join with access information, related instructions, product updates, or invitations to provide feedback or participate in interviews.
3. Eligibility
By using the Site or participating in the Beta Program, you represent and warrant that you are at least 16 years of age (or the minimum age required by applicable law in your jurisdiction, including 13 years of age in the United States). If you are between the applicable minimum age and the age of majority in your jurisdiction, you represent that you have obtained the consent of a parent or legal guardian to use the Site and participate in the Beta Program.
The Site and the Beta Program are not directed to children. If you believe that a child has provided us with personal information, please contact us and we will take steps to delete such information.
4. The Beta Program
The Beta Program allows eligible participants to test the pre-release Catchi application. This section sets out the terms that apply to your expression of interest, access, and any rewards offered in connection with the Beta Program.
4.1 Expression of Interest
Submitting your email address registers your interest in the Beta Program or in receiving beta updates and invitations to provide feedback. It does not guarantee access or selection. Where direct beta links are available, submitting your email address on the Site is optional and is not a prerequisite for using those links. We may accept, decline, or limit participation in the Beta Program at any time, subject to applicable law and the relevant testing platform requirements.
4.2 Beta Access and Instructions
Access may be made available through a direct link on the Site or through a link sent by us or our designated operator by email or through a community platform. Access remains subject to eligibility, capacity, and the instructions and notices provided by us and the relevant testing platform. You agree to use the product solely for beta testing purposes and to comply with those instructions and notices.
4.3 Rewards and Incentives
As part of the Beta Program, we may offer rewards or incentives for participation in testing and feedback (for example, a free membership). Submitting an email address alone does not qualify you for a reward. Any such rewards or incentives are provided at our sole discretion, may be subject to additional terms and conditions that we will communicate to you, and may be modified, suspended, or withdrawn at any time without prior notice, subject to applicable law. Rewards and incentives have no cash value and are non-transferable unless we expressly state otherwise.
4.4 Pre-Release Nature
The product made available through the Beta Program is pre-release software. It may contain errors, defects, or incomplete features, and its functionality, availability, and content may change at any time without notice. You acknowledge and accept these limitations as a condition of participation.
5. Communications
If you voluntarily submit your email address or choose to join one of our communities, we may contact you by email or through that community platform about beta invitations, relevant product updates, notices, feedback, discussions, and interviews, in accordance with our Privacy Policy and applicable law.
You may ask us to stop these communications at any time by replying to an email from us or by emailing feedback@catchi.ai. Our team handles these requests manually; we do not currently provide an automated unsubscribe link. We may still send messages necessary to respond to your request or address legal, security, or administrative matters where permitted by law.
6. Your Conduct
In connection with your use of the Site and your participation in the Beta Program, you agree not to:
- Use the Site or the product for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the product, our systems, or the systems of our service providers;
- Introduce any viruses, malware, or other harmful code;
- Copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit the Site or the product, except as expressly permitted by these Terms or by us in writing;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the product;
- Use any automated means, including bots, scrapers, or crawlers, to access or collect data from the Site, except as permitted by applicable law;
- Misrepresent your identity or provide false, inaccurate, or misleading information; or
- Violate any applicable law, regulation, or the rights of any third party.
We reserve the right to suspend or terminate your access to the Site and the Beta Program, and to revoke any rewards or incentives, if you violate these Terms or if we reasonably believe that your conduct may harm us, other users, or third parties.
7. Intellectual Property
The Site, the product, and all content, features, and functionality made available through them — including, without limitation, text, graphics, logos, icons, software, and the selection and arrangement thereof — are owned by Catchi or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site, and to use the product solely for your personal beta testing purposes. No other rights or licenses are granted, whether express or implied.
If you provide us with feedback, suggestions, comments, or ideas regarding the Site, the product, or the Beta Program (collectively, “Feedback”), you grant us an unrestricted, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and commercialize such Feedback without any obligation or compensation to you.
8. Third-Party Links and Community Platforms
The Site may contain links to third-party websites and services, including community platforms (such as Discord and Facebook). These third-party platforms and services are not operated or controlled by us.
Your use of any third-party platform or service is governed by that third party’s own terms of service and privacy policy, and we are not responsible for their content, practices, or availability. We encourage you to review the terms and policies of any third-party platform or service before using it.
9. Disclaimer of Warranties
The Site and the product are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, we do not warrant that the Site or the product will be uninterrupted, error-free, secure, or free of viruses or other harmful components; that the product will meet your expectations or requirements; or that any defects or errors will be corrected. The product is pre-release software and may not function as intended.
10. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Catchi, its affiliates, or their respective officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses.
The foregoing limitation applies to claims arising out of or in connection with your use of, or inability to use, the Site or the product, or your participation in the Beta Program, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or in connection with these Terms, the Site, the product, or the Beta Program shall not exceed the greater of (a) the amount you have actually paid to us, if any, in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above exclusions and limitations may not apply to you.
11. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Catchi, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees).
This indemnification obligation applies to any claims arising out of or in connection with (a) your use of the Site or the product; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of the rights of any third party.
12. Privacy
Your use of the Site and your participation in the Beta Program are also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect your personal information. Please review our Privacy Policy to understand our practices. By using the Site or providing us with your information, you consent to the practices described in our Privacy Policy.
13. Modifications to These Terms
We may modify these Terms from time to time in our sole discretion to reflect changes in our practices, technologies, legal requirements, or other factors. If we make material changes, we will provide notice by updating the “Effective Date” or “Last Updated” date at the top of these Terms and, where appropriate, by other means such as a notice on the Site or by email.
Your continued use of the Site after any changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Site and the product.
14. Termination
We may suspend or terminate your access to the Site, the product, or the Beta Program at any time, with or without cause, and with or without prior notice, in our sole discretion. Upon termination, all rights and licenses granted to you under these Terms will immediately terminate. The provisions of these Terms that by their nature should survive termination — including, without limitation, Sections 6 through 11 and this Section 14 — shall survive any termination.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of laws provisions, regardless of your country of origin or where you access the Service, except that the Federal Arbitration Act governs Section 16. Disputes subject to Section 16 must be resolved through individual arbitration. For any court proceeding permitted under Section 16, including a qualifying small-claims case, an excluded intellectual-property claim, or a proceeding involving a timely arbitration opt-out, the parties consent to the state and federal courts located in California, unless applicable law gives a consumer a non-waivable right to another forum.
16. Dispute Resolution and Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
16.1 Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, whether based in contract, tort, statute, or otherwise (a "Dispute"), shall be resolved by binding arbitration on an individual basis, and not by class or representative action or by jury trial. This arbitration agreement applies to all Disputes between you and us, including Disputes that arose before your acceptance of these Terms.
16.2 Pre-Arbitration Notice and Informal Resolution
Before initiating arbitration, the party seeking arbitration ("Claimant") must first send a written Notice of Dispute to the other party ("Respondent") describing the nature and basis of the claim and the specific relief sought. Notices to us must be sent by email to feedback@catchi.ai and by certified U.S. Mail to Catchi, Attn: Legal Department, with the address at 68 Circular Road, #02-01, Singapore 049422. Within thirty (30) days of receipt of the Notice of Dispute, the parties shall engage in at least one good-faith settlement discussion, which may be conducted by telephone or videoconference. Arbitration may be initiated only if the Dispute is not resolved within such period. This requirement does not prevent either party from seeking urgent temporary relief where delay could cause irreparable harm.
16.3 Arbitration Rules
Except for the matters listed in Section 16.4, any dispute arising out of or relating to these Terms, the Service, a purchase, or the parties' relationship will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitrator has exclusive authority to resolve disputes concerning the scope, enforceability, or formation of this arbitration agreement, except that a court may decide the enforceability of the class-action waiver.
The arbitration may be conducted by video, telephone, written submissions, or an in-person hearing reasonably convenient to you, as permitted by the AAA rules. Fees will be allocated under the AAA rules and applicable law. The Company will pay amounts it is required to pay under those rules or law.
16.4 Exceptions
Either party may:
- bring an individual claim in small-claims court if the claim qualifies and remains individual;
- seek relief from a government agency where applicable law permits;
- seek temporary or preliminary injunctive relief in court to prevent unauthorized access, security abuse, or imminent infringement or misappropriation of intellectual-property or confidential rights; or
- bring a court action concerning ownership or infringement of patents, copyrights, trademarks, or trade secrets.
16.5 Small Claims Court
Notwithstanding the foregoing, either party may elect to have an individual claim heard in small claims court, where the claim is within the jurisdiction of such court, instead of pursuing arbitration.
16.6 No Jury Trial, no class or representative proceedings
YOU AND CATCHI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND CATCHI EACH WAIVE ANY RIGHT TO A JURY TRIAL. UNLESS BOTH PARTIES EXPRESSLY AGREE IN WRITING OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF DIFFERENT PERSONS OR CONDUCT A CLASS, COLLECTIVE, MASS, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING.
16.7 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice of your decision to feedback@catchi.ai within thirty (30) days of the date you first access or use the Service. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, neither you nor we can require the other to arbitrate a Dispute.
16.8 Exception for Injunctive Relief
Notwithstanding the foregoing, either party may seek non-monetary injunctive or other equitable relief in court to prevent irreparable harm, without first engaging in arbitration or the informal dispute resolution process described above.
17. Miscellaneous
17.1 Entire Agreement. These Terms, together with our Privacy Policy and any additional terms we communicate to you in connection with the Beta Program, constitute the entire agreement between you and us regarding the Site and the Beta Program, and supersede all prior agreements and understandings.
17.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
17.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Catchi.
17.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.
17.5 No Third-Party Beneficiaries. These Terms do not create any rights enforceable by any third party.
